Terms of Service
Effective date: August 2, 2026
These Terms of Service ("Terms") govern your access to and use of the Garflo Supply online store (the "Site") operated by Garflo Supply Incorporated ("Garflo," "we," "us," or "our"), and any purchase you make through it. By placing an order, you agree to these Terms. If you do not agree, do not use the Site or place an order.
1. Eligibility
The Site is intended for business and wholesale customers in the United States. By ordering, you represent that you are at least 18 years old and are placing the order for lawful business or commercial purposes.
2. Products, Pricing & Availability
We sell janitorial, industrial and cleaning supplies, which may include chemical products. Product descriptions, images, pricing, and availability are subject to change at any time without notice. Prices are shown in U.S. dollars (USD). We strive for accuracy, but if a product is listed with an incorrect price or description, we reserve the right to correct the error and to cancel any order placed based on that error, even after the order was submitted. Inventory shown is live and is reserved for you only when your order is placed; adding an item to your cart does not reserve it.
3. Orders & Acceptance
Your submitted order is an offer to purchase. We may accept or decline any order, in whole or in part, at our discretion (for example, due to stock, pricing errors, suspected fraud, quantity limits, or shipping limitations). We may also limit the quantity available per order and may require freight (LTL / pallet) shipping for large or high-volume orders. If we cancel an order (or part of one) for any of these reasons, including after payment has been captured, we will notify you and promptly refund the amount paid for the cancelled portion to your original payment method; that refund is your exclusive remedy for the cancellation. A confirmation email does not guarantee acceptance; a contract is formed only when we process and ship (or capture payment for) your order.
4. Payment
We accept card payments processed securely by Stripe. We do not receive or store your full card details. Depending on the order, your card may first be authorized (funds temporarily held, not charged) and then charged when your order is prepared or shipped. Sales tax is calculated and applied based on your shipping address where we are required to collect it. You authorize us (and Stripe) to charge your payment method for the total shown at checkout, including products, shipping, and applicable tax.
5. Payment Window & Auto-Cancellation
After you place an order, you have a limited window to complete payment. If payment is not completed within that window, the order is automatically cancelled and the reserved items are released. You are not charged for an unpaid, cancelled order.
6. Order Cancellation
Because orders are processed very quickly, cancellation requests must be made immediately by contacting us at [email protected]. We will cancel and refund/release payment ONLY if the order has not yet entered preparation or shipping. Once an order has been processed and shipped, it cannot be cancelled, and our Return & Refund Policy applies instead.
7. Shipping & Delivery
Shipping is governed by our Shipping Policy. Delivery times are estimates and are not guaranteed. Risk of loss and title pass to you upon our delivery of the products to the carrier; however, if your order arrives damaged, we will help under our Return & Refund Policy. For consumer purchases, where applicable law keeps the risk of loss with us until you receive the product, that law controls.
You agree to provide a valid physical street address for delivery. Because our carriers (FedEx and UPS) do not deliver to P.O. boxes, we cannot ship to a P.O. box, and any order without a deliverable street address may be cancelled.
8. Returns & Refunds
All sales are final once payment is captured, except for defective, incorrect, or transit-damaged items as described in our Return & Refund Policy. Please read that policy before ordering.
9. Customer & Distributor Codes; Tax Exemption
Certain customers and distributors may receive account codes tied to a verified email for pricing and, for qualifying distributors, sales-tax exemption. Codes are personal to your account and must be used with the email on file. Tax-exempt status requires valid, current resale/exemption documentation on file; if it expires or is invalid, applicable sales tax will be charged.
10. Product Use, Safety & Compliance
Some products we sell are chemical or cleaning products that can be hazardous if misused. You are solely responsible for: (a) using, handling, storing, and disposing of all products in accordance with the manufacturer's label, instructions, and Safety Data Sheet (SDS); (b) ensuring products are used only by adequately trained personnel with appropriate protective equipment; (c) complying with all applicable laws and regulations, including OSHA hazard-communication requirements for your workplace; and (d) determining that a product is suitable for your intended application. Products are sold for commercial and institutional use. We are not liable for injury, damage, or loss resulting from misuse, improper handling, mixing of chemicals, failure to follow label or SDS instructions, or use contrary to applicable law.
Antimicrobial products (EPA / FIFRA): Certain products we sell, such as disinfectants and sanitizers, are pesticides registered with the U.S. Environmental Protection Agency (EPA) under FIFRA. These products are sold only with their EPA-registered labeling, and all efficacy, disinfection, and safety claims are limited to those stated on the product's EPA-approved label. You agree to use these products strictly in accordance with their EPA-registered label directions.
Nothing in this section limits any warranty or right that cannot be excluded under applicable law.
11. Safety Data Sheets (SDS)
Safety Data Sheets (SDS) for hazardous chemical products are available upon request at [email protected]. Where required by law, SDS information accompanies or is provided with your shipment. Please review the SDS before using any chemical product.
12. Site Content & Acceptable Use
The Site and its content (text, images, logos, product data, and software) are owned by or licensed to Garflo Supply Incorporated and protected by intellectual-property laws. You may use the Site only to browse and place legitimate orders. You may not scrape, copy, resell access to, interfere with, or attempt to gain unauthorized access to the Site or to other customers' orders or information.
13. Disclaimers & Limitation of Liability
To the fullest extent permitted by law, the Site and all products are provided "AS IS" and "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, except for warranties that cannot be excluded under applicable law. Product manufacturers may provide their own warranties; any such warranty is between you and the manufacturer. We are not liable for any indirect, incidental, special, or consequential damages. Our total liability for any claim arising from an order will not exceed the amount you paid for that order. Nothing in this section excludes or limits liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded or limited under applicable law. If any limitation in this section is held unenforceable as to a particular claim, it remains in full effect for all other claims.
14. Indemnification
You agree to indemnify and hold Garflo Supply Incorporated harmless from any claims, losses, or expenses arising out of your misuse of the Site or of any product, or your violation of these Terms.
15. Governing Law & Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Webb County, Texas, and you consent to that venue. Any claim arising from an order must be brought within two (2) years after the claim arises, except where a longer period is required by law. Nothing in these Terms waives any right or remedy that cannot be waived under the law of the state where you reside.
16. General
Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, weather, fire, labor disputes, carrier or supplier failures, utility or internet outages, epidemics, or acts of government.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
No Waiver. Our failure to enforce any provision is not a waiver of it.
Assignment. You may not assign your rights under these Terms without our written consent; we may assign ours.
Electronic Communications. You consent to receive notices, agreements, disclosures, and other communications from us electronically (by email or through the Site), and you agree that electronic communications satisfy any legal requirement that such communications be in writing.
Entire Agreement. These Terms, together with our Return & Refund, Shipping, and Privacy Policies, are the entire agreement between you and us regarding the Site and your orders. Headings are for convenience only.
17. Changes
We may update these Terms at any time. The version in effect at the time of your order applies. Continued use of the Site after changes means you accept the updated Terms.
